Terms of Use
These Terms of Use explain the rules for using NxtGen Stack and all products, tools, and services within our ecosystem.
Welcome to NxtGen Stack.
These Terms of Use explain the agreement between you and NxtGen Stack when you visit our websites, create an account, use one of our products, access NxtGen Space, purchase a subscription, connect a service, use an AI feature, or otherwise interact with the NxtGen Stack ecosystem.
We have deliberately created one set of Terms for the ecosystem rather than a different legal document for every product.
That makes the rules easier to understand and gives us one consistent framework as NxtGen grows.
Please read these Terms carefully. They are legally binding.
By creating an account, clicking to accept these Terms, purchasing a service, or using a NxtGen service after these Terms have been presented to you, you agree to them.
If you do not agree, please do not use the applicable service.
1. Who We Are
NxtGen Stack is operated by Mohamed Kamal Mohamed Kamel, trading as NxtGen Stack.
Throughout these Terms, references to "NxtGen," "NxtGen Stack," "we," "us," and "our" mean Mohamed Kamal Mohamed Kamel trading as NxtGen Stack.

2. What These Terms Cover
These are the master Terms of Use for the NxtGen Stack ecosystem.
They apply to any NxtGen website, application, software product, digital service, workspace, platform, API, AI capability, integration, report, analysis, tool, account, or other service that links to or incorporates these Terms.
They also apply to future NxtGen services unless we expressly state otherwise.
Different services naturally perform different jobs. Some analyze information. Some protect or monitor systems. Some generate content or recommendations. Some manage workflows. Some connect to third party services. Some may take authorized actions on your behalf.
Those differences do not require us to create an entirely new contract for every product.
Where a specific service genuinely requires additional legal terms, we may provide Product Specific Terms. Those terms will supplement these Terms rather than replace the entire NxtGen legal framework.
3. The Other Documents That Matter
Depending on what you use or purchase, these Terms may operate together with our:
- Privacy Policy
- Refund and Cancellation Policy
- Product Specific Terms
- Data Processing Agreement
- Order Form
- Enterprise Agreement
- Partner, affiliate, agency, or reseller agreement
- Other written agreement expressly accepted by you and NxtGen
Mandatory law always takes priority where it cannot legally be excluded.
After that, a separately executed Enterprise Agreement or Order Form controls the matters it specifically addresses.
Product Specific Terms control matters that are expressly unique to the relevant service.
These Universal Terms govern everything else.
4. Consumers and Business Customers
Some NxtGen services may be used by individuals. Others are primarily designed for entrepreneurs, professionals, agencies, businesses, teams, and organizations.
For these Terms, a Consumer is an individual using a service mainly for personal purposes outside their trade, business, craft, or profession.
A Business Customer is anyone using a service primarily for a commercial, professional, organizational, agency, institutional, nonprofit, or other business purpose.
Some provisions in these Terms apply specifically to Business Customers. Where that is the case, we say so.
If you are a Consumer, nothing in these Terms removes a legal right that applicable law does not allow you to waive.
5. Who May Use NxtGen
You must be legally capable of entering into a binding agreement.
If you purchase or use NxtGen on behalf of a business, client, company, organization, or another person, you confirm that you have authority to act on their behalf.
You must not use a NxtGen service where doing so would violate applicable law.
If the law where you live requires additional consent before you can enter into an online contract, you may use NxtGen only after that consent has been properly obtained.
6. Your Account
Some NxtGen services require an account.
Please provide accurate information and keep it reasonably current.
You are responsible for protecting your login credentials and for activity performed by people you deliberately authorize to use your account.
If you believe your account or credentials have been compromised, contact us promptly.
You must not sell, transfer, or commercially share an account unless the applicable service or plan expressly allows it.
Plans designed for businesses, teams, agencies, clients, or organizations may permit multiple users or delegated access.
7. Workspaces, Teams, Clients, and Permissions
NxtGen services may organize information through workspaces, organizations, projects, websites, tenants, accounts, or similar environments.
Some users may have administrative authority over others.
Depending on the service, administrators may be able to:
- invite or remove users;
- assign permissions;
- connect websites or external services;
- configure integrations;
- access or manage Customer Content;
- change settings;
- manage subscriptions or usage;
- configure security controls; or
- perform other administrative actions.
If you control an environment, you are responsible for deciding who should have access and what authority they should receive.
NxtGen is not responsible simply because an authorized administrator performs an action that falls within the permissions the customer gave them.
8. Your Right to Use NxtGen
As long as you comply with these Terms and pay any charges that apply, we give you a limited, nonexclusive right to access and use the NxtGen services included in your account, plan, purchase, or agreement.
That right lasts only while you remain entitled to use the service.
You are purchasing or receiving access to NxtGen, not ownership of the NxtGen software itself.
The software, systems, interfaces, databases, methodologies, workflows, models, algorithms, documentation, designs, and other underlying technology remain the property of NxtGen or the relevant licensors.
Unless we expressly authorize it, you may not sell, sublicense, redistribute, reproduce, or commercially exploit access to our services.
9. Your Content and Data
Many NxtGen services work with information you provide.
That information may include files, text, websites, names, images, documents, links, prompts, records, settings, business information, analytics data, configuration information, or other materials.
We call this Customer Content.
Your Customer Content remains yours.
Using NxtGen does not transfer ownership of your Customer Content to us.
You give us the limited rights reasonably necessary to host, process, analyze, transmit, display, transform, or otherwise handle that content so that we can:
- provide the service you requested;
- operate features you enable;
- maintain and secure the service;
- investigate technical problems;
- provide customer support;
- prevent fraud and abuse;
- comply with law; and
- perform processing otherwise described in our Privacy Policy or an agreement with you.
You are responsible for making sure that you have the legal right to provide the Customer Content you submit.
10. Confidential Business Information
We understand that customers may place commercially sensitive information inside NxtGen.
Information that is clearly confidential by its nature or circumstances should be treated accordingly by both sides.
We will use reasonable safeguards to protect confidential information and will use it only for legitimate purposes connected with providing, securing, supporting, or administering the relevant service.
You must treat confidential NxtGen information in the same way.
These obligations do not apply to information that:
- was already lawfully known;
- becomes public without wrongdoing;
- was independently developed without using the confidential information;
- is lawfully obtained from another source without confidentiality restrictions; or
- must be disclosed under applicable law.
Where disclosure is legally required, the party making the disclosure may provide only what the law requires.
11. Connecting NxtGen to Other Systems
Some NxtGen services may connect to websites, applications, databases, APIs, platforms, cloud services, accounts, or other systems.
You must have authority to connect them.
When you enable a connection, you authorize NxtGen to interact with that system only to the extent reasonably necessary to perform the functions you have enabled.
You remain responsible for deciding:
- which systems should be connected;
- which permissions should be granted;
- who has authority to approve the connection;
- whether appropriate backups exist; and
- whether the connection is appropriate for your environment.
If you manage a client's system, you are responsible for obtaining the client's authorization.
Never use NxtGen to access a system you do not have the legal right to access.
12. Automated Actions
Some NxtGen services may take actions rather than simply display information.
An action might occur because of a rule, schedule, configuration, detected condition, integration, workflow, or instruction you provide.
When you intentionally enable an automated action, you authorize NxtGen to perform that action within the permissions you granted.
Automation does not remove your responsibility for choosing appropriate settings.
Where an action could materially affect a system, website, account, user, or data set, NxtGen may introduce safeguards such as confirmation steps, permission requirements, limits, approval controls, or emergency suspension mechanisms.
13. Artificial Intelligence
Artificial intelligence may be used throughout parts of the NxtGen ecosystem.
AI is useful, but it is not infallible.
AI generated or AI assisted results may sometimes be incomplete, inaccurate, outdated, nonunique, misleading, or inappropriate for a particular situation.
Depending on the service, AI may produce recommendations, classifications, candidate names, analyses, explanations, reports, forecasts, scores, alerts, suggested actions, generated text, or other outputs.
You should use reasonable human judgment before relying on an important AI generated result.
We do not promise that an AI output:
- is always factually correct;
- is unique;
- is suitable for every purpose;
- can be copyrighted or otherwise legally protected;
- can be registered as a trademark;
- does not resemble existing third party material; or
- will produce a particular commercial outcome.
Different customers may receive similar or identical outputs.
14. Using Generated Outputs
Subject to applicable law, third party rights, and any restrictions disclosed for a particular service, you may use outputs generated specifically for you for your lawful personal or business purposes.
NxtGen does not claim ownership of your Customer Content simply because that content was used to generate an output.
Receiving an output does not, however, give you ownership of the technology that produced it.
Our software, models, algorithms, workflows, databases, methodologies, system architecture, templates, proprietary prompts, and other underlying technology remain protected.
You are responsible for reviewing an output before publishing it, implementing it, relying on it, or using it commercially.
15. NxtGen Provides Technology and Decision Support
NxtGen is designed to help people make better informed decisions and operate more effectively.
It does not replace professional judgment where professional judgment is required.
Unless we expressly enter into a separate professional services agreement with you, NxtGen is not acting as your lawyer, accountant, tax adviser, financial adviser, investment adviser, insurance adviser, auditor, regulator, cybersecurity consultant, or other licensed professional.
For example, a trademark search, legal risk indicator, security alert, financial calculation, ranking recommendation, AI analysis, or compliance signal may help you investigate an issue.
It is not automatically a professional opinion, formal clearance, certification, or guarantee.
Where the stakes justify professional advice, you should obtain it from an appropriately qualified professional.
16. NxtGen Does Not Guarantee Business Outcomes
We build NxtGen to create measurable value, but software cannot control every factor affecting a business.
We therefore do not guarantee a particular:
- amount of revenue or profit;
- search ranking or traffic level;
- conversion rate;
- number of customers;
- affiliate or partner result;
- security result;
- prevention of every cyber threat;
- legal or trademark result;
- regulatory outcome;
- cost saving; or
- other commercial result.
Where we make a specific contractual guarantee, it will be clearly identified as a guarantee in the agreement that creates it.
Descriptions of a service's purpose, capability, or expected benefit should not be interpreted as guarantees of circumstances outside our reasonable control.
17. NxtGen Stack Reviews, Rankings, and Research
Parts of NxtGen Stack publish reviews, rankings, comparisons, scores, recommendations, research, or other editorial and analytical content.
We work to make that information accurate and useful, but software products, pricing, features, policies, and market conditions change.
A ranking or review reflects the methodology, information, testing conditions, and evidence available at the relevant time.
It is not a promise that a particular product will be the best choice for every user.
You remain responsible for deciding whether a third party product is appropriate for your needs before purchasing or relying on it.
Where a page states when an evaluation was last tested or updated, that date should be considered when interpreting the results.
18. Affiliate Relationships and Advertising
NxtGen may earn revenue from affiliate relationships, referrals, or advertising.
Where required, those relationships will be disclosed.
Our commercial relationships do not give third party vendors the right to purchase or dictate NxtGen editorial rankings or scoring results.

Affiliate links may take you to a third party website. Any purchase you make from that third party is between you and the relevant seller and is subject to its own terms.
19. Information You Submit to Us
You may sometimes send us feedback, corrections, suggestions, source links, product information, or other material.
You remain responsible for the material you submit.
Where you submit information specifically for review, verification, possible publication, or inclusion in our research, you give us permission to review, verify, quote, summarize, analyze, store, and where appropriate publish that information for the purpose for which it was submitted.
Do not submit confidential information through a public suggestion or feedback form unless the form expressly says it is intended for confidential information.
20. Acceptable Use
We want NxtGen to remain safe and reliable.
You must not use a NxtGen service to:
- break applicable law;
- violate another person's intellectual property, privacy, confidentiality, contractual, or other rights;
- distribute malware or malicious code;
- steal credentials;
- conduct phishing or fraud;
- deceptively impersonate another person;
- gain unauthorized access to a system, account, network, website, or information;
- conduct unlawful surveillance;
- deliberately interfere with the service;
- bypass security controls;
- manipulate usage measurements;
- evade legitimate subscription or usage charges;
- overwhelm or abuse our infrastructure;
- systematically extract protected content or databases without authorization;
- use NxtGen to attack or compromise another system;
- falsify your relationship with NxtGen; or
- resell NxtGen unless your plan or agreement expressly permits it.
Reasonable testing of systems that you own or are authorized to manage is not prohibited simply because that testing involves technical or security analysis.
21. Protecting NxtGen Technology
You may not reverse engineer, decompile, disassemble, or attempt to obtain NxtGen source code, private system prompts, proprietary models, protected algorithms, internal databases, or other nonpublic technology except where applicable law expressly gives you a right that cannot legally be restricted.
You must not intentionally bypass access controls, licensing restrictions, usage meters, security measures, or technical limitations.
Nothing in this section prevents lawful interoperability rights that applicable law says cannot be excluded.
22. Sensitive and Regulated Information
Not every NxtGen service is designed for every type of data.
Do not submit information subject to special legal, regulatory, contractual, or security requirements unless the relevant service expressly supports that type of information and any required agreement or safeguard is in place.
If your business operates in a regulated industry, you remain responsible for deciding whether a particular service is suitable for that regulated use.
Do not assume that a general NxtGen service satisfies a specific regulatory standard merely because it provides related functionality.
23. Third Party Services
NxtGen may rely on or connect with third party technology.
This may include cloud infrastructure, artificial intelligence providers, data services, communication providers, payment services, APIs, analytics providers, or other external systems.
Those companies operate independently and may have their own terms and policies.
We cannot guarantee that a third party service will remain available, unchanged, or commercially available forever.
If a third party changes its API, technology, pricing, policy, availability, or technical requirements, an NxtGen integration may also need to change.
We will manage important dependencies reasonably, but we cannot accept responsibility for the independent acts or omissions of third parties outside our control.
24. Prices and Purchases
The material terms of a purchase will be presented before you complete it.
Depending on the service, pricing may be based on a subscription, workspace, user, site, credit, request, usage allowance, transaction, analysis, API call, or another clearly disclosed unit.
Before you purchase, the relevant checkout or order process should identify:
- what you are purchasing;
- the price;
- whether the payment is one time or recurring;
- the billing period where applicable;
- material usage limits; and
- any other significant purchase conditions.
By completing a purchase, you authorize the applicable payment provider or Merchant of Record to collect the charges presented to you.
25. Paddle and the Purchase Transaction
Where Paddle processes an order, Paddle acts as the authorized reseller and Merchant of Record for that transaction.
This means Paddle handles the purchase transaction, including payment processing, applicable transaction taxes, order related payment support, and refunds or returns under the applicable Paddle terms and policies.
NxtGen remains responsible for licensing and providing the NxtGen service itself.
Your transaction with Paddle is subject to Paddle's applicable Buyer Terms and Refund Policy in addition to these Terms governing your use of NxtGen.
Where another authorized Merchant of Record or payment provider is used, its applicable transaction terms may also apply.
26. Taxes
Where a Merchant of Record is responsible for collecting and remitting transaction taxes, it will handle those obligations according to the applicable transaction and law.
You remain responsible for any tax obligation legally imposed directly on you that is not collected as part of the transaction.
27. Subscriptions and Renewals
Some NxtGen services are sold as subscriptions.
Before you subscribe, the checkout will identify the billing period and recurring price.
Unless the applicable offer expressly states otherwise, a subscription continues for successive billing periods until canceled.
You may cancel through the cancellation method made available for your subscription.
Cancellation prevents future renewal after the applicable paid period.
It does not automatically create a refund for a period already purchased or used.
Refund rights are governed by the NxtGen Stack Refund and Cancellation Policy, Paddle's applicable policies where Paddle processed the transaction, and any mandatory rights provided by law.
28. Price Changes
Prices may change over time.
A price change will not alter a purchase that has already been completed.
For recurring subscriptions, we will provide notice of material price changes where required by applicable law before the new price applies to a future renewal.
If you do not want to continue at the new price, you may cancel before that renewal.
29. Usage Limits, Credits, and Additional Capacity
Some plans include usage limits or allowances.
Those limits may be based on resources such as:
- users;
- sites;
- workspaces;
- storage;
- analyses;
- searches;
- scans;
- requests;
- AI usage;
- sessions;
- transactions;
- API calls;
- credits; or
- other measurable capacity.
The relevant plan or purchase information will identify material limits.
Some services may allow you to purchase additional capacity.
Where additional charges apply, the price or method of calculating them should be disclosed before they are authorized.
You must not deliberately manipulate or bypass usage metering.
30. Refunds and Cancellations
The NxtGen Stack Refund and Cancellation Policy governs refund requests and cancellations across the NxtGen ecosystem.
That Policy forms part of these Terms.
Where Paddle processes the transaction, Paddle's applicable Buyer Terms and Refund Policy also apply to the purchase transaction.
Nothing in these Terms or our Refund and Cancellation Policy removes any refund, withdrawal, cancellation, or consumer right that applicable law does not allow us to exclude.
31. Trials, Free Plans, and Promotional Access
We may offer free plans, free trials, previews, introductory access, promotional pricing, or other limited offers.
Those offers may have different capabilities or limits from paid services.
If a free trial converts into a paid subscription, the relevant signup or checkout flow will explain when charging begins.
We may apply reasonable restrictions to free access to manage capacity, prevent abuse, and protect the service.
32. Beta and Experimental Features
We sometimes allow customers to try functionality before it is fully released.
We will normally identify such functionality as beta, preview, experimental, early access, or similar wording.
Experimental functionality may:
- contain errors;
- change substantially;
- have reduced support;
- become temporarily unavailable; or
- never become a permanent service.
Do not rely on experimental functionality for a critical operation unless we expressly confirm that it is suitable for that purpose.
33. NxtGen Intellectual Property
NxtGen and its licensors retain their rights in the NxtGen ecosystem and the technology behind it.
This includes, where applicable:
- software;
- source code;
- databases;
- interfaces;
- workflows;
- methodologies;
- algorithms;
- scoring systems;
- models;
- documentation;
- system architecture;
- designs;
- visual assets;
- proprietary prompts;
- templates;
- trademarks;
- product names;
- logos; and
- know how.
Your right to use NxtGen does not transfer ownership of those assets to you.
Nothing in this section takes ownership away from you of material that was already yours.
34. NxtGen Branding
The NxtGen name, NxtGen Stack name, NxtGen product names, logos, visual identity, and related brand assets may not be used in a way that falsely suggests sponsorship, certification, endorsement, ownership, partnership, employment, or another relationship with NxtGen.
Customers, affiliates, partners, agencies, and resellers may use NxtGen branding only within the permissions applicable to their relationship with us.
35. Feedback
We welcome thoughtful feedback.
If you voluntarily give us suggestions, feature ideas, comments, or recommendations about NxtGen, you allow us to use that feedback to improve, develop, or operate our services without owing compensation for doing so.
That permission does not give us ownership of your Customer Content or confidential business information.
36. Privacy
Our handling of personal information is governed by the NxtGen Stack Privacy Policy.
The Privacy Policy explains what personal information we collect, why we use it, how it may be shared, how long it may be retained, and what rights may apply.
Where a Data Processing Agreement is required for a particular business relationship, that agreement may supplement these Terms and our Privacy Policy.
Customers remain responsible for ensuring that their own use of NxtGen complies with the privacy and data protection rules that apply to them.
37. Security
We take security seriously and use reasonable technical and organizational measures appropriate to the nature of the services we provide.
No responsible online service can promise absolute security.
Security also depends on you.
Please protect your credentials, assign sensible permissions, maintain appropriate backups, protect the systems and devices under your control, and notify us promptly if you believe an account or connection has been compromised.
Our responsibilities and yours work together.
38. Service Availability
We aim to keep NxtGen services reliable and available.
There may nevertheless be times when a service requires maintenance, updates, emergency remediation, or temporary interruption.
Third party infrastructure providers may also experience outages outside our direct control.
Unless a separate Service Level Agreement expressly says otherwise, we do not guarantee uninterrupted availability every minute of every day.
If an Enterprise Agreement contains a specific uptime commitment, that commitment applies to the customer covered by that agreement.
39. Improving and Changing NxtGen
NxtGen will continue to evolve.
We may improve features, redesign interfaces, replace technology, add capabilities, retire outdated functionality, change technical architecture, or adjust the way a service operates.
Not every ordinary product improvement requires an amendment to these Terms.
If a change materially reduces the core functionality of a paid service during an active paid period, we will provide any notice or remedy required by applicable law or the relevant agreement.
40. Support
Support channels and service levels may vary by plan.
Response times shown on our websites are service targets unless we expressly identify them as contractual service levels.
Enterprise or separately negotiated agreements may provide different support commitments.
41. When We May Suspend Access
Sometimes we need to act quickly to protect customers, systems, or the service.
We may temporarily suspend access where we reasonably believe there is:
- fraud or attempted fraud;
- serious misuse;
- unlawful activity;
- deliberate abuse of the service;
- a significant security threat;
- persistent nonpayment;
- a material breach of these Terms;
- risk of material harm to another customer or third party; or
- a legal or regulatory requirement requiring suspension.
Where a problem can reasonably be corrected and immediate action is not necessary, we will try to provide notice and an opportunity to resolve it.
Suspension is intended to protect the service and its users, not to punish customers.
42. Ending Your Use of NxtGen
You may stop using a free service whenever you want.
If you have a paid subscription, you may cancel using the available cancellation method.
Cancellation and refund rights are explained in our Refund and Cancellation Policy.
Canceling a subscription ordinarily prevents the next renewal. It does not eliminate charges, obligations, or liabilities that arose before cancellation.
43. When NxtGen May Terminate Access
We may terminate access where there is:
- a serious or repeated breach of these Terms;
- established fraud;
- unlawful use;
- persistent nonpayment;
- unacceptable security risk;
- serious abuse affecting others;
- a legal requirement to terminate access; or
- another legitimate ground expressly permitted by the applicable agreement or law.
We may also discontinue an entire service.
Where reasonably possible and legally appropriate, we will provide advance notice.
Some circumstances, particularly fraud, serious security threats, or legal orders, may require immediate action.
44. What Happens to Your Data When Access Ends
Where a service allows you to export Customer Content, you should export anything you need before your access ends.
The availability of information after cancellation depends on the service and plan.
We may retain information where reasonably necessary or legally required for purposes such as:
- accounting;
- security;
- fraud prevention;
- backup integrity;
- dispute resolution;
- regulatory obligations; or
- other lawful purposes.
Personal information remains subject to our Privacy Policy.
Ending your account does not transfer ownership of your Customer Content to NxtGen.
45. Intellectual Property Complaints
We respect intellectual property rights.
If you believe something associated with a NxtGen service infringes your rights, contact us through the official NxtGen Stack contact channel and provide enough information for us to understand and investigate the issue.
We may remove or restrict access to material where appropriate and legally permitted.
46. Important Warranty Limits
We want our services to work well, and we take the commitments we make seriously.
There are nevertheless limits to what software can guarantee.
Except where mandatory law or a separate written agreement says otherwise, NxtGen services are provided on an "as is"and "as available" basis.
To the fullest extent permitted by law, we do not make implied warranties beyond those that cannot legally be excluded.
We do not promise that every service will always be uninterrupted, completely error free, completely secure, or suitable for every possible purpose.
We do not promise that every error, vulnerability, inaccurate output, threat, or interruption will be detected or prevented.
Nothing in this section removes a statutory warranty, consumer guarantee, or other protection that applicable law requires us to preserve.
47. Limitation of Liability
This section explains how financial responsibility is allocated if something goes wrong.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to that rule, and to the fullest extent permitted by applicable law, NxtGen will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses.
This may include loss of profits, revenue, goodwill, anticipated savings, business opportunity, or data where the law permits those categories of loss to be excluded.
For a paid NxtGen service, our total aggregate liability arising from or relating to that service will not exceed the total amount you paid or were required to pay for the affected service during the 12 months immediately before the event giving rise to the claim.
If you have used the affected service for less than 12 months, the relevant amount is what you paid or were required to pay during that shorter period.
For a free service, our total aggregate liability will not exceed US$100 or its equivalent, to the fullest extent permitted by applicable law.
A separately executed Enterprise Agreement may establish a different liability framework.
Mandatory Consumer rights remain unaffected.
48. Business Customer Responsibility for Third Party Claims
This section applies only to Business Customers.
If your Customer Content, unlawful use of NxtGen, unauthorized access to another person's systems, or serious breach of these Terms directly causes a third party to make a claim against NxtGen, you agree to defend and indemnify NxtGen against that claim, including reasonable losses and costs, to the extent permitted by law.
You are not responsible under this section for losses caused by NxtGen's own unlawful conduct.
If a covered claim arises, we will provide reasonable notice and reasonable cooperation in its defense.
49. Events Outside Reasonable Control
Neither you nor NxtGen should be treated as breaching an obligation because performance was prevented by circumstances genuinely outside reasonable control.
These circumstances may include natural disasters, war, terrorism, civil disruption, governmental action, widespread telecommunications failure, major infrastructure outages, labor disruption, or similar extraordinary events.
This section does not cancel payment obligations that had already become due.
50. Compliance With Law
You are responsible for using NxtGen lawfully.
We may restrict or modify access where reasonably necessary to comply with applicable laws, sanctions, export controls, regulatory requirements, or valid governmental orders.
You may not use, export, transfer, or provide access to NxtGen in violation of applicable trade restrictions or sanctions.
51. Consumer Rights
If you use NxtGen as a Consumer, these Terms do not override rights that applicable law says cannot legally be waived.
Where a mandatory consumer protection rule conflicts with these Terms, that mandatory rule applies to the extent of the conflict.
This includes any applicable mandatory rights relating to digital services, cancellation, refunds, defective services, statutory warranties, unfair contract terms, data protection, or access to courts.
52. Governing Law
These Terms are governed by the laws of England and Wales, without regard to rules that would require the application of another jurisdiction's law, except where mandatory law requires otherwise.
If you are a Consumer, this choice of law does not deprive you of mandatory consumer protections that apply to you under the law of the country in which you habitually reside.
For clarity, choosing the laws of England and Wales as the governing law does not represent or imply that NxtGen Stack is incorporated, established, or physically located in England or Wales.
53. Resolving Disputes
Most problems are better solved directly than through litigation.
If a dispute arises, we ask that you contact us first and give us a reasonable opportunity to understand the problem and try to resolve it.
For Business Customers, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms unless another written agreement between us expressly provides otherwise.
If you are a Consumer, this provision does not remove any mandatory right you have to bring proceedings before another court that applicable law says must remain available to you.
Nothing in this section prevents either party from seeking urgent protective or injunctive relief where legally available.
54. Changes to These Terms
NxtGen will evolve, and these Terms may occasionally need to evolve with it.
We may update them because of changes in:
- law or regulation;
- security requirements;
- our services or technology;
- third party dependencies;
- payment arrangements;
- our legal structure; or
- legitimate business operations.
If a change materially affects your legal rights, we will provide notice where applicable law requires it.
We will not use a later version of these Terms to retroactively remove rights attached to a completed transaction unless applicable law requires that result.
Where express acceptance of new Terms is required, we will ask for it.
55. Keeping Track of Versions
The Last Updated date at the top of these Terms shows when they were most recently revised.
We may preserve previous versions for legal, operational, and audit purposes.
Where it matters which version applies, the relevant version will normally be the version that was validly accepted or otherwise applicable when the relevant transaction or use occurred.
56. If NxtGen's Legal Structure Changes
NxtGen may eventually operate through a company or another legal structure.
The business may also be reorganized, transferred, sold, financed, merged, or acquired.
If the operator responsible for NxtGen changes, these Terms may be assigned to the successor responsible for providing the services, subject to applicable law.
A change in legal structure does not automatically remove customer rights or cancel existing obligations.
Where notice is legally required, we will provide it.
57. Assignment by Customers
You may not transfer these Terms to another person without our consent where doing so would materially change the party receiving the service or our legal exposure.
This does not prevent ordinary changes to team members, users, or administrators where the applicable service permits them.
Enterprise agreements may contain different assignment rules.
58. Our Relationship With You
Using NxtGen does not create an employment relationship, partnership, joint venture, franchise, fiduciary relationship, or agency between you and NxtGen.
You cannot make promises or commitments on behalf of NxtGen unless we have expressly authorized you to do so.
The same principle applies to affiliates, agencies, partners, and resellers except where a separate agreement gives them specific authority.
59. If Part of These Terms Cannot Be Enforced
If a court or competent authority finds that part of these Terms cannot legally be enforced, the remaining provisions remain in effect.
Where legally permitted, the affected provision should be interpreted or limited only as much as necessary to make it enforceable while preserving its intended purpose.
60. Not Enforcing a Right Immediately Does Not Waive It
If either party does not enforce a contractual right immediately, that does not normally mean the right has been permanently given up.
A waiver must be clear and intentional.
61. The Complete Agreement
These Terms, together with the policies, purchase terms, and agreements expressly incorporated into them, form the agreement governing your use of the applicable NxtGen services.
They replace informal discussions or statements about the same subject unless those statements form part of another binding written agreement between us.
Nothing in this section excludes liability for fraud or anything else that applicable law does not allow to be excluded.
